Non-Disclosure & Intellectual Property Policy

1. Mutual Non-Disclosure Agreement (NDA)

Prospective clients can request a formal mutual Non-Disclosure Agreement (NDA) prior to sharing any confidential technical documentation, product roadmaps, or operational data. Our standard mutual NDA protects both parties against unauthorized disclosure, commercial exploitation, or third-party transfer of shared information.

2. Intellectual Property (IP) Ownership

Intellectual property ownership depends on the signed contract. For custom software development and dedicated engineering engagements, 100% of custom software deliverables—including source code repositories, design tokens, database schemas, and documentation—are assigned directly and exclusively to the client once agreed contractual payment obligations are fulfilled under the applicable Master Services Agreement (MSA).

3. Pre-Existing IP & Open Source Frameworks

Open-source software libraries (such as React, Flutter, Node.js, and PostgreSQL) utilized in your project remain subject to their respective open-source licenses (MIT, Apache 2.0, BSD). Nexora Labs does not claim proprietary licensing over public open-source libraries or third-party cloud infrastructure primitives.

4. Ironclad Escrow Guideline (Third-Party Source Code Escrow)

For enterprise clients requiring institutional continuity protection, Nexora Labs supports tripartite source code escrow agreements under our Ironclad Escrow Guideline. Production source code snapshots, infrastructure manifests, and deployment runbooks can be deposited quarterly with an accredited neutral escrow agent (e.g., NCC Group or Iron Mountain), guaranteeing release triggers strictly upon verified vendor insolvency or material contractual abandonment.
